1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Clearstream AI ("Company," "we," "us," or "our") governing your access to and use of our website and AI-powered services, including Clearstream Voice AI (collectively, the "Services").

By accessing or using our Services, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to be bound by them. If you are using our Services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

Clearstream AI provides AI-powered business solutions including, but not limited to:

• Voice AI that handles inbound phone calls, appointment booking, and customer intake
• AI strategy consulting tailored to home service businesses
• CRM integrations with platforms such as ServiceTitan, Jobber, Housecall Pro, HubSpot, Salesforce, and Zoho
• Workflow automation and AI implementation services

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

3. Account Registration

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Keep your login credentials confidential and not share them with third parties
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that we reasonably believe are being used fraudulently or in violation of these Terms.

4. Fees and Payment

Certain Services are provided on a subscription or project basis and require payment. By purchasing a paid plan or service, you agree to:

• Pay all fees in accordance with the pricing agreed upon at the time of purchase
• Provide valid, current payment information and authorize us to charge your payment method
• Pay any applicable taxes associated with your use of the Services

All fees are non-refundable except as expressly stated in a separate written agreement or as required by applicable law. We reserve the right to change our pricing at any time, with at least 30 days' notice for subscription services.

5. Acceptable Use

You agree to use our Services only for lawful purposes and in compliance with these Terms. You must not:

• Use the Services in any way that violates applicable local, state, national, or international laws
• Transmit any material that is defamatory, offensive, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Services to make unsolicited, unauthorized, or illegal communications
• Attempt to gain unauthorized access to any part of the Services or its related systems
• Use the Services to engage in deceptive, misleading, or fraudulent business practices
• Reverse engineer, decompile, or disassemble any part of our platform or AI systems
• Resell, sublicense, or otherwise transfer access to the Services without our written consent

Violation of this section may result in immediate termination of your account without notice.

6. Intellectual Property

All content, software, technology, designs, and materials comprising the Services — including our AI models, platform code, and documentation — are and remain the exclusive property of Clearstream AI or our licensors, protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes in accordance with these Terms.

You retain all ownership of content and data you provide to us ("Client Data"). By providing Client Data, you grant us a limited license to use it solely to provide and improve the Services for you.

7. Confidentiality

In the course of using our Services, you may share confidential business information with us. We will:

• Keep your confidential information strictly confidential
• Use it only for the purpose of providing the Services
• Not disclose it to third parties without your consent, except as required by law

Similarly, you agree not to disclose any non-public information about our technology, pricing, business operations, or AI systems that we share with you in confidence.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.

If you use our Voice AI services, you are responsible for ensuring that your use of call recording and processing features complies with applicable wiretapping, recording consent, and privacy laws in your jurisdiction.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. AI systems, including our Voice AI, may occasionally produce inaccurate, incomplete, or unexpected outputs. You are responsible for reviewing and verifying any AI-generated content before relying on it for business decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLEARSTREAM AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Clearstream AI and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Client Data.

12. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access to the Services immediately, without prior notice, if you breach these Terms or engage in conduct that we reasonably believe is harmful to us, other users, or third parties.

Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Clearstream AI is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in that jurisdiction.

14. Changes to Terms

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. For significant changes, we may also send you an email notification. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
